Tax
Our tax practice encompasses all aspects of tax planning for for-profit and tax-exempt organizations, as well as tax dispute and litigation matters. We handle applications for recognition of tax-exempt status and assist exempt clients in structuring their business transactions to preserve tax-exempt status. We have broad experience in federal, state and local income taxes, employment taxes, excise taxes, sales and use taxes, property taxes, criminal defense and tax collection matters. We also handle federal and state tax controversy matters from examination through the final judicial appeal and are available to assist in planning and implementing transactions, tax-exempt financing and other tax matters.

Labor and Employment
The firm has extensive experience in all employment matters critical to health care clients, including employment discrimination, civil rights, sexual harassment, wrongful discharge, whistle-blowing, defamation, plant closings, down-sizing, reductions in force and employee benefits disputes. We have assisted in the preparation of employment handbooks, applications, evaluations and related personnel material, the preparation of employment contracts and covenants not to compete, severance and release arrangements and litigation involving these matters.

We also routinely handle traditional labor matters, including contract negotiations and administration, organizing campaigns, strike planning, hand billing and picketing issues, labor arbitrations, wage and hour issues, Office of federal Contract Compliance and OSHA investigations, and National Labor Relations Board proceedings.

We advise clients regarding various personal privacy issues (e.g., drug and alcohol testing, AIDS, smoking, negligent retention and hiring, employee/applicant screening programs, employee assistance programs and Americans with Disabilities Act Issues).

Employee Benefits
Our employee benefits practice involves the design and implementation of all types of qualified and nonqualified retirement plans and welfare benefit plans, analysis of prohibited transaction issues and applicable exemptions, reporting and disclosure requirements, audits and administrative and compliance issues. Through our Washington, D.C. office, we deal directly with officials of the Department of Labor, the Department of the Treasury, the Internal Revenue Service, the Department of Health and Human Services, the Public Health Service and the Pension Benefit Guaranty Corporation on matters of interest to individual clients.

Environmental
Attorneys in our firm’s environmental practice area regularly advise clients concerning state and federal environmental protection statutes. We have represented clients before many federal and state environmental agencies and counseled numerous clients on a wide range of environmental matters including infectious waste management, Superfund site investigations and cleanups, RCRA enforcement and penalty proceedings, Clean Water compliance and liability issues, transportation of hazardous waste, underground and above-ground storage tanks and potential liability under the environmental laws in the context of real estate purchases, sales, refinancing and foreclosure actions.

Intellectual Property
Lawyers in the firm have been actively involved in representing our clients on an entire spectrum of intellectual property law questions, ranging from negotiation and drafting of licensing agreements (e.g., software, technology, trademarks and service marks), computer hardware purchases, the cross-licensing and marketing of data bases, registration of patents and trademarks, negotiation and preparation of data processing agreements, infringement issues, the preparation of employee confidentiality agreements and litigation concerning the same.
